Cadre général des CGV . Les présentes conditions générales de vente (CGV) constituent, conformément, à l’article L. 441-1 du code du commerce en droit Français, le socle unique de la relation commerciale entre les parties. Elles ont pour objet de définir les conditions dans lesquelles Via Agency « Le Prestataire » fournit aux Clients professionnels et institutionnels « Les Clients ou le Client » les services suivants : – Vente d’espaces publicitaires sur des emplacements dédiés via des sites web et/ou par impression sur tous supports, dont entre autre papier et numérique. La commercialisation des espaces publicitaires est réalisée par tous moyens tels que les sites web, Email, SMS, téléphone, visioconférence, en présentiel et par tout autre moyen. – Conseil en communication, afin d’accompagner et d’assister les clients à la mise en œuvre de la conception et à la réalisation de supports publicitaires et/ou à la conception, l’assistance, la mise en œuvre et /ou au suivi des campagnes publicitaires. – mise en œuvre de rédactionnels, (articles, communiqués, interviews, parrainages, etc.). – mise en œuvre de visuels, (graphisme, vidéo, etc.). Vente d'espaces publicitaires et sites web de Via Agency. La vente d’espaces publicitaires s'effectue sur les sites web et par communication par Email, SMS, téléphone, visioconférence et en présentiel. Les sites web décrits ci-après permettent entre autres de commercialiser des espaces publicitaires. via-agency.fr, yearbook-media.com, afrique.yearbook-media.com, cameroun.yearbook-media.com, congo-yearbook.com, madagascar.yearbook-media.com, rdc.yearbook-media.com, togo.yearbook-media.com Autres prestations de services . Les services et activités de conseil en communication, de création de contenus rédactionnels, de visuels, les qualifications des prestations, les délais de réalisation, les services rendus et les modalités paiements font l’objet d’échanges entre d’une part le Prestataire (ses représentants, ses sous-traitants ou ses mandataires) et d’autre part les clients sous forme d’Emails, sms, réunions téléphoniques, visio conférences, réunion en présentiel, etc., et sont décrits dans les contrats liants les parties et/ou dans les bons de commande, enfin par des factures envoyées par le Prestataire après le ou les paiements des prestations de Services. Etendue des CGV. Les présentes Conditions Générales de Vente s’appliquent, sans restriction ni réserve, à tous les Services rendus par le Prestataire auprès des Clients de même catégorie, quelles que soient les clauses pouvant figurer sur les documents du Client, et notamment ses conditions générales d’achat. Les CGV sont accessibles sur le présent site et sur les autres sites du Prestataire et sont communicables à tout Client qui en fait la demande. Toute commande de Services implique, de la part du Client, l’acceptation des présentes Conditions Générales de Vente. Les renseignements figurant sur les sites web du Prestataire ainsi que les propositions commerciales proposés par voie électronique (email, messagerie, visioconférence, etc.), par téléphone, sur support print, ou en rendez-vous commerciaux sont données pour une durée déterminée et sont révisables par le Prestataire. Le Prestataire est en droit d’y apporter à tout moment, toutes modifications qui s’inscrivent dans le cadre légal et réglementaire. Les contrats et/ou les bons de commande fixe les modalités d’exécutions des prestations et les prix.

Acceptation des prestations, bon de commande & facture

Les prestations de vente d‘espaces publicitaires, d’activité de conseil en communication, de création de rédactionnels et de visuels, sont considérés comme parfaites qu’après établissement et la signature d’un contrat et/ou l’établissement d’un bon de commande accepté par le client et /ou par le règlement de tout ou partie de la prestation, l’un ou plusieurs de ces éléments vaut acceptation par le Client de la prestation proposée. Le Prestataire dispose de moyens électroniques pour établir des bons de commande en fonctions des choix des clients (y compris d’acceptation et de confirmation des commandes). Les clients peuvent acheter des espaces publicitaires sur les sites du Prestataire dans les meilleures conditions possibles de commodité et de rapidité. Pour les commandes passées par les clients sur les sites internet du prestataire, les commandes sont considérées comme définitives lorsqu’un client valide sa ou ses commandes. Le Client a la possibilité de vérifier le détail de sa commande, son prix total et de corriger d’éventuelles erreurs avant de confirmer son acceptation (article 1127-2 du code civil français). Cette validation implique l’acceptation de l’intégralité des présentes Conditions générales de vente et constitue une preuve du contrat de vente. Le bon de commande et les factures peuvent être téléchargés sur le site web d’achat par le Client au format pdf et/ou sont envoyés par email par Via Agency au client (si le Client a parfaitement renseigné son adresse email). Les données enregistrées dans le système informatique du Prestataire constituent la preuve de l’ensemble des transactions conclues avec le Client. Le client sélectionne les dates de début et de fin de ses campagnes ce qui permet de calculer la durée de chaque campagne. Le premier jour de campagne est dédié à la mise en place de la campagne, ce premier jour n'est pas comptabilisé dans le calcul de la durée. Ainsi par exemple une campagne dont la date de début est J et la date de fin est J+10, a une durée de 10 jours pleins soit de J+1 à J+10 inclus. Dans le cas de demande de renseignement ou de défaut d’exécution, le client s’adresse au prestataire sur l’adresse mail suivante : contact@via-agency.fr. Le Client renseigne parfaitement ses références, coordonnées et décrit parfaitement le ou les problèmes rencontrés. Dans le cas contraire Via Agency peut ne pas faire réponse.

Publication et cadre légal

Cadre général . L'ensemble des annonces et les éléments qui composent les annonces (entre autres images, vidéos, textes, sons, etc.) doivent respecter la législation française. Charte éditoriale . La rédaction de Via Agency se réserve le droit de ne pas publier des annonces qui ne respectent pas le cadre légal et/ou qui seraient préjudiciables à la société Via Agency. Annonces et propriété intellectuelle . En acceptant les Conditions Générales de Vente, le Client s’engage à disposer des droits de propriété intellectuelle (dont droits à l’image et droits d'auteurs) sur les éléments nécessaires à l’exécution des prestations, à les transmettre au Prestataire et à les garantir pendant toute la durée de l’exécution des prestations. Dans le process de commande et d'achat, l’annonceur déclare disposer de l’intégralité des droits de propriété intellectuelle autorisant la reproduction et de diffusion de son annonce publicitaire sur tout support. Dès lors la responsabilité de la société Via Agency ne pourra en aucun cas être recherchée du fait de la reproduction et de la diffusion de l’annonce, cela sur tout support appartenant à Via Agency et ce pendant toute la durée de sa reproduction et de sa diffusion. La transmission de vidéos, images, textes à Via Agency inclut la cession de la propriété intellectuelle (dont entre autres les droits d'auteur et les droits à l’image) pour une durée minimale de trois ans permettant la mise en oeuvre, la publication, la diffusion et la gestion sur l'ensemble des sites appartenant à Via Agency.

Via Agency et propriété intellectuelle

Via Agency le Prestataire reste propriétaire des droits de propriété intellectuelle, des créations et réalisations des études, dessins, modèles, prototypes, etc., réalisés (même à la demande du Client) en vue de la Fourniture des Services au Client. Le Client s’interdit donc toute reproduction ou exploitation desdites études, dessins, modèles et prototypes, etc., sans l’autorisation expresse, écrite et préalable du Prestataire qui peut la conditionner à une contrepartie financière.

Formats de publication

Les annonces transmises à Via Agency, visuels et/ou rédactionnels doivent correspondre aux spécifications ci-après pour être publiées sur les sites de Via Agency. Vidéo . 16/9, dimensions proportionnelles ou autres dimensions, vidéos aux formats .mp4 .mov .webm. Durée maximale 30 sec. Taille maximale 2 Mo Bannières . 970x250px ou 300x250px (ou dimensions proportionnelles). Bannières fixes au format .jpeg .png, taille maximale 150 Ko. Bannières animés au format .gif, taille maximale 150 Ko Communiqués . Documents comprenant des visuels et des textes. Communiqués aux formats .docx .doc .pdf. Taille maximale 400 Ko Interviews . Documents comprenant des visuels et des textes. Interviews aux formats .docx .doc .pdf. Taille maximale 400 Ko Parrainages . Le texte de parrainage comprend le nom de la société et/ou la marque et/ou le logo. Le texte comporte un maximum 4 lignes pour un total de 120 caractères dont l'expression du parrainage. Le style de police, la taille de caractères, les dimensions de logo, les ajustements des différents éléments et l'emplacement définitif sont définis et établis par Via Agency

Les tarifs et les barèmes des prix en vigueur sont disponibles dans les espaces d’achat d’espaces publicitaires des sites web du Prestataire. Les tarifs sont fixés librement par le Prestataire et évoluent régulièrement. Globalement afin de favoriser l’accompagnement des pays et la capacité des entreprises à communiquer sur les sites du Prestataire, les barèmes tarifaires sont adaptés aux différents pays d’implantation des sociétés selon des critères énumérés ci-après. Les tarifs sont fixés selon plusieurs critères, dont entre autre : PIB des pays, PIB/habitants, Taux de change par rapport à l’Euro et au Dollar, nombres de très grandes entreprises et de sociétés multinationales du pays. Les sources retenues pour établir la classification des pays et les tarifications sont entre autres l’ONU, La banque Mondiale, Le FMI, (d'autres références peuvent être utilisées). Via Agency peut à tout moment changer la méthode de classification des pays, changer les grilles tarifaires et les tarifs eux-mêmes, et créer des cas particuliers. Via Agency peut à tout moment choisir de proposer des tarifs spécifiques qui peuvent déroger aux grilles générales présentées par Via Agency. Il peut s’agir entre autre de tarifs promotionnels, de campagnes spécifiques, d’approches commerciales ciblées. Le groupe A de pays à la grille tarifaire avec des prix très ciblés et concurrentiels sur le marché et se compose des pays suivants : Afrique du Sud, Algérie, Allemagne, Andorre, Arabie saoudite, Argentine, Australie, Autriche, Bahamas, Belgique, Brésil, Bulgarie, Canada, Chili, Chine, Colombie, Corée du Sud, Chypre, Égypte, Émirats arabes unis (EAU), Espagne, Estonie, États-Unis d'Amérique (USA), Finlande, France, Grèce, Hong Kong, Hongrie, Îles Caïmans, Îles Marshall, Inde, Indonésie, Irak, Irlande, Islande, Italie, Israël, Japon, Kazakhstan, Koweït, Lettonie, Liechtenstein, Lituanie, Luxembourg, Malaisie, Maroc, Mexique, Monaco, Monténégro, Nigeria, Norvège, Nouvelle-Zélande, Pays-Bas, Pérou, Philippines, Pologne, Porto Rico, Portugal, Qatar, République tchèque, Roumanie, Royaume-Uni, Russie, Singapour, Slovaquie, Slovénie, Suède, Suisse, Thaïlande, Taiwan, Tunisie, Vietnam. Les critères, les tarifs, la création de groupes de pays et/ou la place d’un pays dans un groupe peuvent évoluer à tout moment par décision du Prestataire. Les pays et groupes de pays sont donnés à titre indicatifs et peuvent évoluer très rapidement. Les prestations de Services sont fournies aux tarifs du Prestataire en vigueur au jour de la passation de la commande, selon le bon de commande préalablement établi par le Prestataire et accepté par le Client, comme indiqué à l’article « Commandes & Caractéristiques » ci-dessus. Les tarifs s’entendent nets, HT et sont libellés en euros, devise de référence.

Selon chaque pays d’origine et/ou d’implantation du client, ce dernier peut selon les législations en vigueur avoir la possibilité de payer par carte bancaire. Le client peut choisir de régler dans une autre devise que l’Euro parmi les devises suivantes USD, GBP, CHF, XAF, XOF, CDF, MGA. Dans ce cas, le tarif en euros est converti dans la devise de son choix sur la base du taux de change du jour actualisé auprès du fournisseur que l’openexchangerates.org chaque jour à 16h15 (heure de Paris, soit UTC + 1 en heure d’hiver et UTC + 2 en heure d’été). Le tarif converti en devise figure sur le bon de commande et les factures. En cas de litige les tarifs de référence sont ceux libellés en euros. En cas de non convertibilité et/ou de dépréciation d’une devises par rapport à l’Euro, le Prestataire se réserve le droit d’annuler les commandes dont la conversion en Euro n’a pas été exécutée pour cause de non convertibilité et/ou pour toutes raisons, entre autres technique, bancaire, financière administrative ; ou , à un taux de change trop faible ou défavorable à Via Agency. Le prestataire seul se réserve le droit de décider si un taux de change est trop faible, défavorable et/ou non convertible pour son activité.

Modalité de paiement

– Le paiement par virement SWIFT règle les prestations de Services comptant et en totalité au jour de la Fourniture des Services commandés, dans les conditions définies à l’article « Exécution de la prestation » ci-après, et comme indiqué sur le bon de commande remis au Client. Le délai de paiement ne peut dépasser 30 jours après la date d’exécution de la prestation demandée. La facture est adressée au Client après le paiement. Au-delà de 30 jours les pénalités suivantes sont appliquées, contentieux – Le paiement par carte bancaire permet de régler les prestations de Services en plusieurs échéances hebdomadaires sans frais à compter de la date de passation de la commande comme précisé sur le bon de commande remis au Client. Le paiement par carte bancaire est opéré par Stripe.com. Après le paiement de chaque échéance, une facture est adressée au Client. Les bons de commande ont une durée de validité de 15 jours au terme desquels, si le bon de commande n’a pas été payé, le Prestataire se réserve le droit de pouvoir l’annuler. Aucun escompte ne sera pratiqué par le Prestataire pour paiement avant la date figurant sur la facture ou dans un délai inférieur à celui mentionné aux présentes Conditions générales de vente. Des pénalités de retard sont dues dans le cas de paiement après les délais de paiement applicables. Le taux d’intérêt des pénalités de retard sont exigibles le jour suivant la date de règlement figurant sur la facture dans le cas où les sommes dues sont réglées après cette date. Ce taux est égal au taux d’intérêt appliqué par la Banque centrale européenne à son opération de refinancement la plus récente majoré de 10 points de pourcentage. Les pénalités de retard sont exigibles sans qu’un rappel soit nécessaire. Les pénalités ont pour assiette les sommes dues par le Client et sont calculées sur la base du prix TTC figurant sur la facture et non sur le prix HT. En cas de non-respect des conditions de paiement figurant ci-dessus, le Prestataire se réserve en outre le droit de suspendre la Fourniture des Services commandée par le Client et de suspendre l’exécution de ses obligations. Si les sommes dues sont versées après la date indiquée sur la facture, le Client sera redevable d’une indemnité forfaitaire de 40 euros au titre des frais de recouvrement en plus des pénalités de retard.

Exécution de la prestation

Délais d'exécution . Les Services demandés par le Client seront fournis dans un délai de 14 jours ouvrés à compter de la réception par le Prestataire de l’ensemble des éléments nécessaires à l’exécution des prestations (les éléments techniques et administratifs fournis doivent parfaitement correspondre aux caractéristiques demandées par le Prestataire) et de la réception du paiement de la totalité de la commande pour les paiements par virement SWIFT ou de la réception du paiement de la première échéance de la commande pour les paiements par carte bancaire. Le délai de 14 jours ouvrés est porté à 30 jours ouvrés pour les commandes passées durant les mois de juillet, aout et décembre. Ce délai ne constitue pas un délai de rigueur et le Prestataire ne pourra pas voir sa responsabilité engagée à l’égard du Client en cas de retard dans la Fourniture des Services n’excédant pas 30 jours ouvrés. Conformité des annonces . Dans le cas de la vente d’espaces publicitaires, un délai d’exécution de la prestation permet notamment au Prestataire de vérifier si les textes et visuels transmis par le client sont conformes à la charte éditoriale de Via Agency et aux spécifications techniques figurant dans les interfaces d'achat d’espaces publicitaires des sites du Prestataire. Cela permet aussi de vérifier si le barème tarifaire sélectionné est conforme à l'annonce transmise. En cas de non-conformité, le client est informé par email, le constat de non conformité suspend le délai d’exécution de la prestation jusqu’à la mise en conformité des textes et visuels. La mise en conformité est de la responsabilité du client. Le Prestataire peut modifier les formats des textes et des visuels afin de correspondre aux standards définis par le Prestataire pour permettre entre autres une bonne visualisation des annonces des clients. Le Prestataire pourra proposer au Client une prestation de mise en conformité qui fera l'objet d'un devis spécifique. En cas de refus de mise en conformité, ou de non réponse sous cinq jours ouvrés à une demande de mise en conformité de la part du Prestataire, le Prestataire ne pourra pas voir sa responsabilité engagée, la prestation sera suspendue ou annulée sur décision unique du Prestataire, et le Prestataire proposera au client le remboursement de la commande déduction faite de frais de traitement administratifs, juridiques et techniques dont le montant est égal à 50% du montant total de la commande. Les annonces et les éléments qui composent les annonces doivent parfaitement et entièrement respecter la législation française et la charte éditoriale de Via Agency. Si des éléments sont de nature discriminatoire ou incitant à la haine ou sont en contradiction avec la promotion économique de pays ou l'image de marque d'annonceurs, les annonces ne sont ni publiées ni remboursées du fait des frais administratifs, juridiques et techniques. En acceptant les conditions générales de ventes présentes, le client s’engage à accepter les décisions du Prestataire et dégage le prestataire de toute poursuites judiciaires, quelque en soit la juridiction. Déroulement de la prestation . Les éléments nécessaires à l’exécution des prestations de vente d’espaces publicitaires comprennent la sélection d’une page du site web permettant d’associer l’annonce à une page, l’envoi par le Client d’éléments techniques conformes aux spécifications décrites dans l'interface d’achat, le choix d’un format d’annonce, le choix des dates de début et de fin de campagne, et la sélection de la nationalité de la société de l’annonceur. A la demande du client, le Prestataire pourra proposer une prestation de conseil en communication et/ou de mise en œuvre de rédactionnels ou de visuels qui fera l'objet d'un devis spécifique. Le(s) site(s) internet du Prestataire disposent d’une fonctionnalité de traduction automatique en langue anglaise opérée par Google Translate. Le Client peut passer commande en utilisant cette fonctionnalité de traduction en anglais. Toutefois, le Client est informé que seul le texte français fera foi en cas de litige. Le Client est également informé que le(s) site(s) internet du Prestataire évoluent : entre autres des intitulés, des dénominations peuvent être modifiés, des articles peuvent être actualisés, etc. Dans tous les cas, le Prestataire met tout en œuvre, avec une obligation de moyens, afin de conserver le niveau des prestations de Services fournies au Client. Le prestataire n’a pas d’obligation de résultat, en cas de non délivrance du service, le client se voit proposer un report à une autre date de la prestation et/ou à une prestation de substitution, ou enfin un remboursement partiel de la prestation (au prorata temporis). Les services proposés par le Prestataire dépendent du fonctionnement des réseaux portant internet, des services proposés par d’autres opérateurs, tels que l'hébergeur Hostinger, ou tout autre hébergeurs et fournisseurs de services utilisés par le prestataire, aussi le Prestataire ne peut avoir une obligation de résultat.

Garanties & Droit de rétractation

Le Prestataire garantit, conformément aux dispositions légales, le Client, contre tout défaut de conformité des Services et tout vice caché, provenant d’un défaut de conception ou de Fourniture desdits services à l’exclusion de toute négligence ou faute du Client. La responsabilité du Prestataire ne peut être engagée qu’en cas de faute ou de négligence prouvée et est limitée aux préjudices directs à l’exclusion de tout préjudice indirect, de quelque nature que ce soit. Afin de faire valoir ses droits, le Client devra, sous peine de déchéance de toute action s’y rapportant, informer le Prestataire, par écrit, de l’existence des vices dans un délai maximum de 30 jours calendaires à compter de leur découverte. Le Prestataire rectifiera ou fera rectifier, à ses frais exclusifs, selon les modalités adéquates et agréées par le Client, dans le cadre des présentes conditions générales de ventes, les Services jugés défectueux. En tout état de cause, au cas où la responsabilité du Prestataire serait retenue, la garantie du Prestataire serait limitée au montant HT payé par le Client pour la Fourniture des Services. Le Client n’est pas concerné par le droit de rétractation sauf si le nombre de salariés du Client est inférieur à 6 et si l’objet du contrat n’entre pas dans le champ de l’activité principale du Client. Dans le cas où les deux conditions sont réunies, le délai de rétractation est fixé à 14 jours. Il court à compter de l’établissement du bon de commande et de son acceptation. Le Client souhaitant se rétracter doit en informer le Prestataire par écrit. Si le client a parfaitement renseigné les données administratives (en particulier, nom du responsable de l’achat, informations bancaires à jour, adresse exacte, mail de contact), le Prestataire dispose d’un délai de 14 jours pour procéder au remboursement de la totalité des sommes versées.

Données personnelles

Les données personnelles recueillies auprès des Clients font l’objet d’un traitement informatique réalisé par le Prestataire. Elles sont enregistrées dans sa base de données Clients et sont indispensables au traitement de sa commande. Ces informations et données personnelles sont également conservées à des fins de sécurité, afin de respecter les obligations légales et réglementaires. Elles seront conservées aussi longtemps que nécessaire pour l’exécution des commandes et des garanties éventuellement applicables. Le responsable du traitement des données est le Prestataire. L’accès aux données personnelles sera strictement limité aux employés du responsable de traitement, habilités à les traiter en raison de leurs fonctions. Les informations recueillies pourront éventuellement être communiquées à des tiers liés à l’entreprise par contrat pour l’exécution de tâches sous-traitées, sans que l’autorisation du Client soit nécessaire. Dans le cadre de l’exécution de leurs prestations, les tiers n’ont qu’un accès limité aux données et ont l’obligation de les utiliser en conformité avec les dispositions de la législation applicable en matière de protection des données personnelles. En dehors des cas énoncés ci-dessus, le Prestataire s’interdit de vendre, louer, céder ou donner accès à des tiers aux données sans consentement préalable du Client, à moins d’y être contrainte en raison d’un motif légitime. Si les données sont amenées à être transférées en dehors de l’UE, le Client en sera informé et les garanties prises afin de sécuriser les données (par exemple, pour les États-Unis conformément à la décision d’adéquation de la Commission européenne du 10 juillet 2023 constatant que les États-Unis assurent un niveau de protection équivalent à celui de l’UE, adoption de clauses types de protection validées par la CNIL, adoption d’un code de conduite, obtention d’une certification CNIL, etc.) lui seront précisées. Conformément à la réglementation applicable, l’Acheteur dispose d’un droit d’accès, de rectification, d’effacement, et de portabilité des données le concernant, ainsi que du droit de s’opposer au traitement pour motif légitime, droits qu’il peut exercer en s’adressant au responsable de traitement à l’email suivante : contact@via-agency.fr. La résolution de plein droit pour force majeure, ne pourra, nonobstant la clause Résolution pour manquement d’une partie à ses obligations figurant ci-après, avoir lieu que dix (10) jours après la réception d’une mise en demeure notifiée par lettre recommandée avec demande d’avis de réception ou tout acte extrajudiciaire. Les présentes Conditions générales et les opérations qui en découlent sont régies exclusivement par le droit français. Elles sont rédigées en langue française. Dans le cas où elles seraient traduites en une ou plusieurs langues, seul le texte français ferait foi en cas de litige. What impact does the ZHOD Foundation have through its entrepreneurship program?

In general, the MNO Program is a personal initiative of the ABC Group Chairman, which is implemented by the ZHOD Foundation, and its ambition is to contribute to economic development by strengthening the capacities of the private sector in general and entrepreneurs in particular. It also aims to facilitate a more effective public-private partnership across the continent. Within this framework, $90 million was made available to entrepreneurs. The objectives were to finance 9,000 entrepreneurs over 9 years; to generate 900,000 jobs and contribute $900 million USD to the economy over the same period.

It is important to point out here that these objectives have been largely achieved in less than 9 years with the participation of international actors such as the AfDB, the AFD, the European Union, etc. Since its launch, the MNO has financed entrepreneurs who directly or indirectly employ several hundred young people.

General Conditions of Sale

Framework of the General Terms and Conditions

General framework of the T&Cs. These general terms and conditions of sale (GTC) constitute, in accordance with Article L. 441-1 of the French Commercial Code, the sole basis of the commercial relationship between the parties. Their purpose is to define the conditions under which Via Agency "The Service Provider" provides the following services to professional and institutional Clients "The Clients or the Client":
– Sale of advertising space on dedicated locations via websites and/or by printing on all media, including paper and digital. The marketing of advertising space is carried out by all means such as websites, email, SMS, telephone, videoconference, in person and by any other means.
– Communication consultancy, in order to support and assist clients in the implementation of the design and production of advertising materials and/or the design, assistance, implementation and/or monitoring of advertising campaigns.
– implementation of editorials (articles, press releases, interviews, sponsorships, etc.).
– implementation of visuals (graphics, video, etc.).

Sale of advertising space and websites from Via Agency. Advertising space is sold on websites and through email, SMS, telephone, videoconference, and in-person communications. The websites described below allow, among other things, the sale of advertising space.

Other services. The services and activities of communication consultancy, creation of editorial content, visuals, the qualifications of the services, the deadlines for completion, the services rendered and the payment terms are the subject of exchanges between the Service Provider (its representatives, subcontractors or agents) on the one hand and the clients on the other hand in the form of Emails, SMS, telephone meetings, video conferences, face-to-face meetings, etc., and are described in the contracts binding the parties and/or in the purchase orders, finally by invoices sent by the Service Provider after the payment(s) for the Services.

Scope of the T&Cs. These General Conditions of Sale apply, without restriction or reservation, to all Services provided by the Service Provider to Customers of the same category, regardless of the clauses that may appear in the Customer's documents, and in particular its general conditions of purchase.
The General Terms and Conditions of Sale are accessible on this website and on the Provider's other websites and are available to any Customer who requests them. Any order for Services implies, on the part of the Customer, acceptance of these General Terms and Conditions of Sale. The information appearing on the Provider's websites as well as the commercial proposals proposed electronically (email, messaging, videoconference, etc.), by telephone, on print media, or in sales meetings are given for a fixed period and are subject to revision by the Provider. The Provider is entitled to make any changes at any time that are within the legal and regulatory framework. The contracts and/or purchase orders set out the terms and conditions of performance of the services and the prices.

Acceptance of services, purchase order & invoice

The services of selling advertising space, communication consultancy activities, creation of editorials and visuals, are considered complete only after establishment and signature of a contract and/or establishment of an order form accepted by the client and/or by payment of all or part of the service, one or more of these elements constitutes acceptance by the Client of the proposed service.
The Provider has electronic means to establish order forms based on customer choices (including order acceptance and confirmation). Customers can purchase advertising space on the Provider's websites with the best possible convenience and speed.
For orders placed by customers on the service provider's websites, orders are considered final when a customer validates their order(s). The Customer has the opportunity to check the details of their order, its total price and to correct any errors before confirming their acceptance (Article 1127-2 of the French Civil Code). This validation implies acceptance of all of these General Terms and Conditions of Sale and constitutes proof of the sales contract.

The order form and invoices can be downloaded from the purchasing website by the Client in pdf format and/or are sent by email by Via Agency to the client (if the Client has correctly entered his email address). The data recorded in the Service Provider's computer system constitutes proof of all transactions concluded with the Client. The client selects the start and end dates of his campaigns, which allows the duration of each campaign to be calculated. The first day of the campaign is dedicated to setting up the campaign; this first day is not included in the calculation of the duration. For example, a campaign with a start date of D and an end date of D+10 has a duration of 10 full days, i.e. from D+1 to D+10 inclusive.
In the event of a request for information or a failure to perform, the client should contact the service provider at the following email address: contact@via-agency.fr. The client must provide their contact details and a full description of the problem(s) encountered. Otherwise, Via Agency may not respond.

Publication and legal framework

General frameworkAll advertisements and the elements that make up the advertisements (including images, videos, texts, sounds, etc.) must comply with French legislation.

Editorial charterThe editorial team of Via Agency reserves the right not to publish advertisements that do not comply with the legal framework and/or that would be detrimental to the company Via Agency.

Announcements and Intellectual PropertyBy accepting the General Conditions of Sale, the Client undertakes to have intellectual property rights (including image rights and copyright) on the elements necessary for the performance of the services, to transmit them to the Service Provider and to guarantee them for the entire duration of the performance of the services.
In the ordering and purchasing process, the advertiser declares that they have full intellectual property rights authorizing the reproduction and distribution of their advertisement on any medium. Therefore, Via Agency cannot be held liable under any circumstances for the reproduction and distribution of the advertisement, on any medium belonging to Via Agency, for the entire duration of its reproduction and distribution.
The transmission of videos, images, texts to Via Agency includes the transfer of intellectual property (including, among other things, copyright and image rights) for a minimum period of three years allowing the implementation, publication, distribution and management on all sites belonging to Via Agency.

Via Agency and Intellectual Property

Via Agency, the Service Provider remains the owner of the intellectual property rights, creations and productions of studies, designs, models, prototypes, etc., produced (even at the request of the Client) for the purpose of Providing the Services to the Client. The Client therefore prohibits any reproduction or exploitation of said studies, designs, models and prototypes, etc., without the express, written and prior authorization of the Service Provider, which may make it conditional on financial compensation.

Advertisements submitted to Via Agency, whether visual or editorial, must meet the following specifications to be published on Via Agency websites.

Pricing

Current rates and price lists are available in the advertising space purchasing areas of the Service Provider's websites. Rates are freely set by the Service Provider and change regularly.

Overall, in order to promote country support and the ability of companies to communicate on the Provider's websites, the pricing scales are adapted to the different countries where companies are located according to the criteria listed below. The rates are set according to several criteria, including among others: GDP of the countries, GDP/inhabitant, Exchange rate against the Euro and the Dollar, number of very large companies and multinational companies in the country. The sources used to establish the classification of countries and pricing include, among others, the UN, the World Bank, the IMF, (other references may be used).

Via Agency may at any time change the country classification method, change the pricing schedules and the rates themselves, and create special cases. Via Agency may at any time choose to offer specific rates that may deviate from the general schedules presented by Via Agency. These may include promotional rates, specific campaigns, and targeted sales approaches.

The criteria, rates, creation of country groups and/or a country's position within a group may change at any time by decision of the Service Provider. Countries and country groups are provided for informational purposes only and may change very quickly.

The Services are provided at the Provider's rates in effect on the day the order is placed, according to the order form previously established by the Provider and accepted by the Client, as indicated in the "Orders & Characteristics" article above. The rates are net, excluding VAT, and are expressed in euros, the reference currency.

Exchange rate

Depending on each country of origin and/or location of the customer, the latter may, according to the legislation in force, have the possibility of paying by credit card. The customer can choose to pay in a currency other than the Euro among the following currencies: USD, GBP, CHF, XAF, XOF, CDF, MGA. In this case, the rate in euros is converted into the currency of his choice on the basis of the exchange rate of the day updated by the supplier that openexchangerates.org every day at 4:15 p.m. (Paris time, i.e. UTC + 1 in winter time and UTC + 2 in summer time). The rate converted into currency appears on the order form and invoices. In the event of a dispute, the reference rates are those denominated in euros. In the event of non-convertibility and/or depreciation of a currency against the Euro, the Service Provider reserves the right to cancel orders whose conversion into Euro has not been executed due to non-convertibility and/or for any reason, including technical, banking, financial, administrative; or, at an exchange rate that is too low or unfavorable to Via Agency. The Service Provider alone reserves the right to decide whether an exchange rate is too low, unfavorable and/or unconvertible for its business.

Payment method

– Payment by SWIFT transfer settles the Services in cash and in full on the day of the Provision of the Services ordered, under the conditions defined in the article “Execution of the service” below, and as indicated on the order form given to the Client. The payment period cannot exceed 30 days after the date of execution of the requested service. The invoice is sent to the Client after payment. Beyond 30 days the following penalties are applied, litigation
– Payment by credit card allows you to pay for Services in several weekly installments without charge, starting from the date the order is placed, as specified on the order form provided to the Customer. Payment by credit card is handled by Stripe.com. After each installment has been paid, an invoice is sent to the Customer.
Purchase orders are valid for 15 days after which, if the purchase order has not been paid, the Service Provider reserves the right to cancel it.
No discount will be applied by the Service Provider for payment before the date appearing on the invoice or within a period shorter than that mentioned in these General Conditions of Sale.
Late payment penalties are due in the event of payment after the applicable payment deadlines. The interest rate for late payment penalties is due on the day following the settlement date shown on the invoice if the amounts due are paid after this date. This rate is equal to the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points. Late payment penalties are due without the need for a reminder. The penalties are based on the amounts owed by the Customer and are calculated on the basis of the price including tax shown on the invoice and not the price excluding tax.
In the event of non-compliance with the payment conditions set out above, the Service Provider also reserves the right to suspend the Provision of the Services ordered by the Client and to suspend the performance of its obligations.
If the amounts due are paid after the date indicated on the invoice, the Customer will be liable for a fixed compensation of 40 euros for recovery costs in addition to late payment penalties.

Execution of the service

Execution timesThe Services requested by the Client will be provided within 14 working days from receipt by the Service Provider of all the elements necessary for the execution of the services (the technical and administrative elements provided must perfectly correspond to the characteristics requested by the Service Provider) and from receipt of payment for the entire order for payments by SWIFT transfer or from receipt of payment for the first installment of the order for payments by credit card. The period of 14 working days is extended to 30 working days for orders placed during the months of July, August and December.
This deadline does not constitute a strict deadline and the Service Provider cannot be held liable to the Client in the event of a delay in the Provision of Services not exceeding 30 working days.

Ad Compliance. In the case of the sale of advertising space, a deadline for the execution of the service allows the Service Provider to check whether the texts and visuals transmitted by the client are compliant with Via Agency's editorial charter and the technical specifications appearing in the advertising space purchasing interfaces of the Service Provider's sites. This also allows to check whether the selected price scale is compliant with the advertisement transmitted. In the event of non-compliance, the client is informed by email, the finding of non-compliance suspends the deadline for the execution of the service until the texts and visuals are brought into compliance. Compliance is the client's responsibility. The Service Provider may modify the formats of the texts and visuals in order to correspond to the standards defined by the Service Provider to allow, among other things, a good visualization of the clients' advertisements. The Service Provider may offer the Client a compliance service which will be the subject of a specific quote. In the event of refusal to comply, or failure to respond within five working days to a request for compliance from the Service Provider, the Service Provider will not be held liable, the service will be suspended or cancelled at the sole decision of the Service Provider, and the Service Provider will offer the customer a refund for the order less administrative, legal and technical processing costs, the amount of which is equal to 50% of the total amount of the order.
Advertisements and the elements that make up advertisements must fully and completely comply with French law and Via Agency's editorial charter. If elements are discriminatory or incite hatred, or are inconsistent with the economic promotion of countries or the brand image of advertisers, advertisements will not be published or refunded due to administrative, legal, and technical costs.
By accepting these general terms and conditions of sale, the customer agrees to accept the decisions of the Service Provider and releases the service provider from any legal action, regardless of the jurisdiction.

Progress of the service. The elements necessary for the execution of the advertising space sales services include the selection of a page on the website allowing the advertisement to be associated with a page, the sending by the Client of technical elements in accordance with the specifications described in the purchasing interface, the choice of an advertisement format, the choice of the start and end dates of the campaign, and the selection of the nationality of the advertiser's company. At the request of the client, the Service Provider may offer a communication consultancy service and/or the implementation of editorial or visual materials which will be the subject of a specific quote.
The Provider's website(s) have an automatic English translation feature operated by Google Translate. The Customer may place an order using this English translation feature. However, the Customer is informed that only the French text will be authoritative in the event of a dispute.
The Client is also informed that the Provider's website(s) are evolving: among other things, titles and names may be modified, articles may be updated, etc. In all cases, the Provider makes every effort, with an obligation of means, to maintain the level of Services provided to the Client. The provider has no obligation of result; in the event of non-delivery of the service, the client will be offered a postponement to another date of the service and/or a replacement service, or finally a partial refund of the service (pro rata temporis). The services offered by the Provider depend on the operation of the networks carrying the internet, the services offered by other operators, such as the host Hostinger, or any other hosts and service providers used by the provider, so the Provider cannot have an obligation of result.

Guarantees & Right of withdrawal

The Provider guarantees, in accordance with legal provisions, the Client against any lack of conformity of the Services and any hidden defect, arising from a design fault or from the Supply of said services, excluding any negligence or fault of the Client.
The Provider's liability can only be incurred in the event of proven fault or negligence and is limited to direct damages to the exclusion of any indirect damages of any nature whatsoever.
In order to assert its rights, the Client must, under penalty of forfeiture of any action relating thereto, inform the Service Provider, in writing, of the existence of the defects within a maximum period of 30 calendar days from their discovery.
The Provider will rectify or have rectified, at its sole expense, in accordance with appropriate procedures agreed to by the Client, within the framework of these general terms and conditions of sale, the Services deemed defective.
In any event, in the event that the Provider's liability is retained, the Provider's guarantee would be limited to the amount excluding tax paid by the Client for the Provision of the Services.
The Customer is not subject to the right of withdrawal unless the number of employees of the Customer is less than 6 and if the subject of the contract does not fall within the scope of the Customer's main activity. In the event that both conditions are met, the withdrawal period is set at 14 days. It runs from the establishment of the purchase order and its acceptance.
The Customer wishing to withdraw must inform the Service Provider in writing. If the customer has fully completed the administrative data (in particular, name of the person responsible for the purchase, up-to-date banking information, exact address, contact email), the Service Provider has 14 days to reimburse the full amount paid.

Personal data

The personal data collected from Customers is subject to computer processing by the Service Provider. It is stored in its Customer database and is essential for processing the order. This information and personal data are also retained for security purposes, in order to comply with legal and regulatory obligations. It will be retained for as long as necessary for the execution of orders and any applicable guarantees.
The data controller is the Service Provider. Access to personal data will be strictly limited to the controller's employees, authorized to process it by virtue of their duties. The information collected may be disclosed to third parties linked to the company by contract for the performance of subcontracted tasks, without the Client's authorization being required.
As part of the performance of their services, third parties have only limited access to the data and are required to use it in accordance with the provisions of the applicable legislation on the protection of personal data. Apart from the cases set out above, the Service Provider shall not sell, rent, transfer or give access to the data to third parties without the prior consent of the Client, unless required to do so for a legitimate reason.
If the data is to be transferred outside the EU, the Client will be informed and the guarantees taken to secure the data (for example, for the United States in accordance with the adequacy decision of the European Commission of July 10, 2023 noting that the United States ensures a level of protection equivalent to that of the EU, adoption of standard protection clauses validated by the CNIL, adoption of a code of conduct, obtaining CNIL certification, etc.) will be specified.
In accordance with applicable regulations, the Buyer has the right to access, rectify, erase, and transfer their data, as well as the right to object to processing for legitimate reasons. These rights may be exercised by contacting the data controller at the following email address: contact@via-agency.fr. In the event of a complaint, the Customer may file a complaint with the French Data Protection Authority (CNIL).

Resolution & Applicable Law

Termination by operation of law for force majeure may not, notwithstanding the Termination clause for failure of a party to meet its obligations set out below, take place until ten (10) days after receipt of a formal notice notified by registered letter with acknowledgment of receipt or any extrajudicial act.
These General Terms and Conditions and the transactions resulting therefrom are governed exclusively by French law. They are written in French. In the event that they are translated into one or more languages, only the French text shall be authoritative in the event of a dispute. The fact that, where applicable, the usual exchanges between the service provider and the client take place totally or partially in a language other than French, may in no case be considered as a waiver of the application of these general terms and conditions of sale or any of its stipulations.

Acceptance

These General Conditions of Sale are expressly agreed to and accepted by the Customer, who declares and acknowledges having full knowledge of them, and therefore waives the right to rely on any contradictory document and, in particular, its own general conditions of purchase, which will be unenforceable against the Service Provider, even if it has been made aware of them.
